1. Overview

Welcome to Hydrate Caribbean! We envision a Caribbean where pure, refreshing drinking water is freely available, environmentally friendly, and easily accessible to all.

1.1 These Terms and Conditions (“Agreement”) apply to your use of our services provided by Newport Water Limited, a privately owned company incorporated in Barbados, St. Lucia, Jamaica whose registered offices are at the provided addresses. When used in these Terms, “Hydrate Caribbean,” “we,” “us,” or “our” refers to Newport Water Limited. The “Hydrate Caribbean Website” refers to hydratecaribbean.com, including its subdomains, and any other websites and applications for mobile or tablet devices through which we provide our services (including any Application Program Interfaces (API)).

1.2 These Terms and Conditions (“Terms”) constitute a binding legal agreement between you, whether you are an individual or an authorized representative of an entity, and Hydrate Caribbean. These terms govern your right to use our services, products, websites, applications, and other offerings from Hydrate Caribbean, collectively referred to as the “Services.” If you use the Services on behalf of an entity, you represent and warrant that you are authorized to agree to the Terms on behalf of that entity, and the entity will be bound by these Terms.

1.3 These Terms are effective as of Sep 6, 2023, and may be subject to modifications. We reserve the right to update these
Terms or the policies related to the Services at any time. Any modifications will be effective upon posting the updated Terms on this site. You are responsible for periodically reviewing the Terms for updates. By continuing to use the Services after the effective date of any changes, you expressly acknowledge and agree to be bound by these modified Terms. These Terms will
remain in effect as a binding contractual obligation between you and Hydrate Caribbean during your use of our Services and beyond. 2. Our Services

2.1 We deploy branded drinking water stations at schools and key public spaces in the Caribbean, offering free chilled and
purified drinking water to everyone. This program empowers Caribbean people, corporations, and visitors to promote health, well-being, and combat single-use plastics in the environment, enhancing the amenities available in our communities for the benefit of all.

2.2 Hydrate Caribbean allows you (individuals or corporate entities) to sponsor hydration stations in schools, institutions, and public places in Barbados, St. Lucia, and Jamaica. This sponsorship involves an initial subscription with recurring subscriptions after the chosen initial period of 1 year, 3 years, or 5 years. Additionally, you can sign up as hosts of a Hydration Station, sharing and monitoring your assigned location on this website. 

 

3. Eligibility

3.1 Our services are accessible to users of all ages, while sponsors must be over 18 years old.

 

4. Accessing Water Stations

4.1 To access our water stations, users can approach the station, place their container on the designated drip tray area, and press a button to dispense clean drinking water. It’s important to note that this service is provided to users free of charge.

 

5. Sponsoring a Hydration Station

5.1 Registration: To be a sponsor, you must register for an account either directly using the Services or by any other official registration process provided and authorized by Hydrate Caribbean. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You may not register more than one account or transfer your account to someone else. You agree to keep your password confidential and will be responsible for all use of your account and password. You must notify us if your password is lost or stolen. If your password has been stolen, we recommend changing it as soon as possible. Registration is permitted only for legal entities, partnerships, and natural persons who are 18 years of age or older.

By creating an Account, you represent and warrant that you are over the age of 18 and not a person or entity prohibited from using the Platform under any applicable laws and rules. We can refuse the creation of your account, or access to our Services, for any legitimate reason.

5.2 Sponsorship Process: By sponsoring a Hydration Station, you agree to make the required payments as outlined on our website or in the sponsorship offer provided to you. Sponsorship may involve an initial subscription fee followed by recurring payments or one lump sum payment, depending on the chosen sponsorship package.

5.3 Cancellation:
You may cancel your sponsorship at any time by contacting us at hello@hydratecaribbean.com. Your cancellation will take effect at the end of the current sponsorship period, and you will not be charged for any subsequent renewal periods.

5.4 Your Data: Our collection and use of personal information in connection with your access to and use of the Services is described in our Privacy Policy. Your use of the Platform binds you to our Privacy Policy, which is part of these Terms. Note that the Services are operated in Barbados, St. Lucia, and Jamaica. If you access the Services from a region with data protection laws different from those in these territories, your continued use of the Services implies your consent to data transfer to and processing in and outside of these territories. You affirm that all information you provide is accurate and commit to updating it promptly. Providing false information may lead to account termination or legal consequences. You acknowledge that your data may be processed and stored outside of the territory in which you are accessing the Services and disclosed as required by law.

 

6. Payments

6.1 Payment Authorization: By providing your payment information, you authorize us to charge the specified amounts for your sponsorship package.

6.2 Sponsorship Fees: You agree to pay all sponsorship fees and any applicable taxes, fees or recurring subscription payments associated with your sponsorship, including but not limited to installation fees. The sponsorship fees are stated on our website or in the subscription offer provided to you. To facilitate payments for our services, we utilize the services of a third-party payment provider. It’s important to emphasize that we do not store or collect any financial data from our customers. All payment information is securely processed through a hosted payment page provided by the third-party payment provider.

6.3 Payment Method: You must provide valid and current payment information to complete the subscription process.

6.4 Automatic Renewal: Unless you cancel your subscription according to the cancellation procedure outlined in these Terms, your subscription will automatically renew at the end of each billing cycle for a subsequent cycle of the same duration. You authorize Hydrate Caribbean to charge your designated payment method for the applicable subscription fees.

6.5 Billing Cycle and Changes: The billing cycle for your subscription will be specified in the subscription offer. Hydrate Caribbean reserves the right to modify the subscription fees or billing cycle upon providing you with reasonable notice in advance.

6.6 Advanced Payments and Deployment Timeline: Advanced payments made to Hydrate Caribbean are intended to secure funding for the station at the specified location. Due to the nature of our business model, locations seeking sponsorship for stations not deployed require us to take payments in advance while awaiting full sponsorship.

We have established a tentative timeline for the deployment of stations as follows:

  • Once a location is selected and the station is made live and listed on our website, the period allotted to await full sponsorship is forty-five (45) days.
  • After full sponsorship is reached within the stipulated forty-five (45) day period, Newport Systems Inc will deploy the station within 30-60 days from the date that the final payment is received.

6.7 Payment Disputes: In the event of a payment dispute, you must contact our customer support team to resolve the issue. Failure to resolve payment disputes in a timely manner may result in the suspension or termination of your subscription pending resolution of the issue.

6.8 You are responsible for (i) evaluating the practices of your Payment Method provider, and (ii) complying with any additional terms or conditions of a third-party payment service provider associated with your Payment Method. We are not responsible for any loss suffered by you because of incorrect Payment Method information provided by you.

6.9 Refunds: If full sponsorship has not been reached within the three months, subscriptions received will be refunded. Refunds will be processed using the original payment method or an alternative method agreed upon by both parties. To request a refund for an advanced payment or an annual sponsorship fee, you must contact our customer support team via hello@hydratecaribbean.com within 14 days of the payment being made. 7. Installation & Delivery

7.1 We handle the delivery and installation of our water stations to the host facility. There may be associated fees which are included in the sponsorship offer. It’s important for host facilities to have certain prerequisites in place before installation, including a solid base, access to electricity, water, and drainage. We coordinate the engagement of third-party contractors with the host facility prior to installation, as is necessary, to ensure that the necessary infrastructure to support the water station is in place. Our estimated timeframe for delivery and installation is typically within 30-60 days after achieving full sponsorship.

 

8. Delays or Issues

9. Maintenance and Repairs

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, ‘comments’), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party intellectual property or these Terms of Service.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

 

10. Reporting Malfunctions or Damages

10.1 We encourage users and host facilities to promptly report any malfunctions or damages they may encounter. You can report such issues by contacting us via email at hello@hydratecaribbean.com or through (876) 758-9849 on WhatsApp or by telephone.

 

11. Restrictions on Use

11.1 Our water stations are intended strictly for drinking water purposes. We strongly discourage any misuse of the water provided, and request that you report any misuse if you are aware of it.

 

12. Removal of Water Stations

12.1 In cases of misuse or abuse of our water stations, we retain the right to take appropriate actions, including the removal or repositioning of the station. We maintain the right to remove a water station at our discretion. In the event of water station removal, we will take appropriate actions to cancel or refund any future payments associated with that specific water station as deemed necessary.

 

13. Termination of Account

13.1 Termination by You: You may terminate your account at any time by contacting us at hello@hydratecaribbean.com. Upon termination, you will no longer have access to your account, and any remaining subscription or sponsorship fees will not be refunded.

13.2 Termination by Hydrate Caribbean: We reserve the right to terminate or suspend your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, Hydrate Caribbean, or third parties, or for any other reason. In such cases, you will not be entitled to a refund of any subscription or sponsorship fees.

 

14. Intellectual Property Rights

14.1 Ownership: All rights, title, and interest in and to the Services, including all content, graphics, logos, trademarks, service marks, and intellectual property contained within the Services, are owned by or licensed to us.

14.2 Grant of License: In the event that any name or logo is to be displayed in connection with sponsorship, you hereby grant us a royalty-free, non-exclusive right and license to use the associated trademark/logo solely for the purpose of identifying the water station as being sponsored by you.

 

15. Electronic Communications

15.1 You agree to receive electronic communications and accept that all agreements, notices, disclosures, and other communications we provide electronically via email or the Services satisfy the legal requirement for written communication. You also consent to the use of electronic signatures, contracts, orders, and the electronic delivery of notices, policies, and transaction records. By doing so, you waive any rights or requirements under applicable laws that necessitate original signatures or non-electronic records.

 

16. Indemnification

16.1 You agree to indemnify and protect Hydrate Caribbean, its affiliates, licensors, service providers, and all associated personnel from any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys’ fees) resulting from your violation of these Terms or misuse of the Services, including unauthorized use of content, services, or products, or any information obtained from the Services.

 

17. Limitation of Liability

17.1 We require that all users of our water drinking stations acknowledge and assume personal responsibility for their use of our services. While we do our best to provide clean and reliable water, please know that we can’t personally check each drop for quality or suitability. We also want to make sure our users understand that in no event will Hydrate Caribbean, including our team and partners, be liable for indirect, punitive, special, exemplary, incidental, consequential, or any other type of damages. This includes things like personal injury, loss of data, revenue, profits, or the ability to use our services. While we’re here to provide you with great services, we won’t get involved in disputes with third parties using the services, and the responsibility for decisions related to our services rests with you. We won’t assess the suitability, legality, or abilities of others accessing our services, and you release us from any liability related to your use of our services or interactions with third parties. We’re here to keep things positive and hassle-free!

Users of our water drinking stations acknowledge and assume all personal responsibility for their use of the facilities. Company shall not be responsible for evaluating or guaranteeing the suitability, quality, or safety of the water provided. Company shall not be liable for any actions or misconduct of third parties using the water drinking stations. Users are encouraged to report any suspicious or inappropriate behavior to the appropriate authorities. Users are responsible for complying with all applicable local, state, and federal regulations regarding water consumption and hygiene.

 

18. Miscellaneous

18.1 Entire Agreement: These Terms, together with any referenced policies, form the complete agreement governing your use of the Services and Hydrate Caribbean Content. They replace and override any previous agreements or commitments related to your use of these Services.

18.2 No Waiver: Our failure to enforce any right or provision in these Terms won’t be considered a waiver of that right or provision, unless we explicitly acknowledge it in writing. Any remedies exercised by either party under these Terms won’t prejudice their other legal remedies.

18.3 Assignment: You cannot assign, transfer, or delegate this agreement or your associated rights and obligations without our prior written consent. Hydrate Caribbean, on the other hand, can freely assign, transfer, or delegate this agreement and its related rights and obligations at its sole discretion.

18.4 Notice: All notices must be in writing and can be sent via a reputable international courier to the provided addresses or by email to hello@hydratecaribbean.com. Notices are considered delivered when sent to the specified addresses. If your address changes, it’s your responsibility to inform the other party in writing. Failure to receive such notice won’t affect the sufficiency of attempted delivery to the old address, whether or not the notice is actually received. Similarly, properly addressed written notices sent by a reputable international courier or another approved means shall suffice as delivery, even if delivery can’t be completed or is refused.

 

19. Governing Law

19.1 These Terms and Conditions are governed by the law of Barbados. You may bring proceedings in the relevant courts of Barbados, which will have exclusive jurisdiction regarding these Terms and Conditions.
